These Terms of Service (“Terms”) govern your access to and use of the website, services, and consulting engagements provided by 4R Tech Solutions (“4R,” “we,” “us,” or “our”), based in Surrey, British Columbia, Canada. By using our website or engaging us for services, you agree to these Terms. If you do not agree, please do not use our services.
4R Tech Solutions provides technology consulting and implementation services, including managed IT services (MSP), website design and development, custom software development, and IT consulting. The specific scope, deliverables, fees, and timelines for any engagement will be set out in a separate written proposal, statement of work, or service agreement (the “Engagement Agreement”). In the event of a conflict between these Terms and an Engagement Agreement, the Engagement Agreement controls for that engagement.
You agree to use this website only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use and enjoyment of the website. You will not attempt to gain unauthorized access to any portion of the website, the server on which it is hosted, or any connected systems.
All content on this website â including text, graphics, logos, images, code, and the underlying compilation â is the property of 4R Tech Solutions or its licensors and is protected by Canadian and international copyright and trademark laws. You may not reproduce, distribute, modify, or create derivative works of any portion of the website without our prior written consent, except as expressly permitted under fair-dealing exceptions or by a separate written license from us.
Ownership of work product produced under an Engagement Agreement (such as custom software, code repositories, design files, or written deliverables) is governed by that Engagement Agreement. Absent a contrary written term, we retain all rights to our pre-existing tools, frameworks, methodologies, templates, and know-how.
Fees, billing cadence, and accepted payment methods are set out in the applicable Engagement Agreement. Unless otherwise agreed in writing, invoices are due within fifteen (15) days of issue. Late payments may accrue interest at 1.5% per month (18% per year) and may result in suspension of services. All amounts are stated in Canadian dollars and are exclusive of applicable taxes (GST/PST).
Each party agrees to keep confidential any non-public information disclosed by the other party in the course of an engagement, and to use such information only for the purpose of performing the engagement. This obligation survives termination of any engagement for a period of three (3) years, except for trade secrets, which are protected for so long as they remain trade secrets.
Our handling of personal information you provide through this website or in the course of an engagement is described in our Privacy Policy, which forms part of these Terms.
The website and any general information provided through it are made available on an “as is” and “as available” basis. To the maximum extent permitted by law, we make no warranties or representations, express or implied, regarding the website, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. Services delivered under an Engagement Agreement are warranted only to the extent set out in that Engagement Agreement.
To the maximum extent permitted by law, 4R Tech Solutions and its principals, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of this website or any services we provide. Our aggregate liability for any direct damages arising out of an engagement will not exceed the fees actually paid by the client to 4R for the specific engagement giving rise to the claim, in the three (3) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless 4R Tech Solutions and its principals, employees, contractors, and affiliates from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of (a) your use of the website in breach of these Terms, or (b) content, data, or instructions you provide to us in the course of an engagement.
An engagement may involve third-party products or services (for example, cloud providers, software vendors, or domain and hosting registrars). Use of those products and services is subject to the third party’s own terms, and we are not responsible for their availability, performance, or content.
Either party may terminate an engagement in accordance with the termination provisions of the applicable Engagement Agreement. We may suspend or terminate your access to this website at any time without notice if we reasonably believe you have breached these Terms. Sections 3 (Intellectual Property), 5 (Confidentiality), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), and 12 (Governing Law) survive termination.
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts located in Surrey, British Columbia, for any dispute that cannot be resolved informally.
We may update these Terms from time to time. Updates will be posted on this page with a revised “Last updated” date. Continued use of the website after an update constitutes acceptance of the revised Terms.
